Baadia – Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you" or "user") and Byrie Apps LLC, a Virginia limited liability company and the operator of the Baadia mobile application ("Baadia", "we", "us", or "our"). By creating an account, downloading, accessing, or using Baadia (the "App"), you agree to these Terms. If you do not agree, do not use the App.

Important: Baadia is a fitness app that uses your device camera, on-device computer-vision pose detection, and self-reported body measurements to help you track workouts and body composition. Baadia is not a medical device and does not provide medical, diagnostic, or healthcare advice. Please read Section 6 ("Health & Safety Disclaimer") carefully.

1. Eligibility

1.1 You must be at least 13 years old to use Baadia. If you are under the age of majority where you live, you may only use the App with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

1.2 You may not use Baadia if you are barred from doing so under applicable law, or if your account has previously been suspended or terminated by us.

1.3 You represent that all registration information you provide is accurate and that you will keep it accurate.

2. Your Account

2.1 Sign-in. Baadia uses third-party authentication through Sign in with Apple and Sign in with Google. By signing in, you authorize us to receive basic profile information from those providers as described in our Privacy Policy.

2.2 Account security. You are responsible for maintaining the security of the device and authentication accounts you use to access Baadia. You must notify us promptly of any unauthorized use of your account.

2.3 One person, one account. You may not share your account or allow another person to use it.

3. The Service

Baadia provides features that may include:

  • AI rep counting for exercises such as push-ups, sit-ups, and squats using on-device pose detection processed through your device camera;
  • Body fat estimation based on photos you capture and physical measurements you enter;
  • Body metrics tracking (e.g., weight, body fat percentage, measurements);
  • Crews and squads – social workout groups in which members can see one another's daily workout activity;
  • Friends and friend requests;
  • Accolades, badges, and progress dials that visualize your progress;
  • Push notifications about your activity and your crewmates' activity.

We may add, change, suspend, or remove features at any time. We may also impose limits on certain features or restrict access to parts of the App without notice or liability.

4. License to Use Baadia

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the App on devices that you own or control, solely for your personal, non-commercial use.

5. User Content

5.1 What is User Content. "User Content" means anything you submit to or generate through Baadia, including profile information, profile pictures, body composition photos, body measurements, workout sessions, rep counts, crew names, and messages or tags you create.

5.2 You own your content. You retain ownership of your User Content.

5.3 License to us. You grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, transmit, display, and process your User Content solely as needed to operate, secure, and improve Baadia for you and the people you choose to share it with (for example, your crew members or friends). This license ends when you delete the relevant User Content or your account, except (a) for backups and logs that are retained for a limited period, and (b) where we must keep it to comply with law.

5.4 Photos. Body composition photos and profile pictures are stored in our backend (Supabase). Photos used for pose detection during workouts are processed on your device and are not uploaded as raw video to our servers; only derived data such as rep counts and session metadata are stored.

5.5 Visibility. Some User Content is shared with other users by design – for example, your display name, profile picture, accolades, and daily workout completion status are visible to your crew members and, in some cases, your friends. You are responsible for what you choose to share.

5.6 Your responsibilities. You represent and warrant that:

  • you have all rights necessary to submit your User Content;
  • your User Content does not violate any law or these Terms; and
  • the photos you upload depict you (or someone who has consented to the upload).

6. Health & Safety Disclaimer

PLEASE READ CAREFULLY.

6.1 Baadia provides general fitness and self-tracking tools. It is not a medical device, and the information it provides – including AI rep counts, pose feedback, body fat estimates, and progress metrics – is not medical advice and is not a substitute for professional medical advice, diagnosis, or treatment.

6.2 Body fat estimates produced by the App are statistical approximations based on photos and self-reported measurements, and may be materially inaccurate. Do not rely on them for clinical decisions.

6.3 You should consult a qualified healthcare professional before beginning, modifying, or stopping any exercise program, especially if you are pregnant, have a medical condition, an injury, or any other health concern. You exercise at your own risk.

6.4 If you experience pain, dizziness, shortness of breath, or any other symptom that concerns you while using the App, stop immediately and seek medical attention.

6.5 You are responsible for choosing a safe environment to perform exercises, including ensuring you have enough space, a stable phone position, appropriate footwear, and that you are physically able to perform the exercise.

7. Acceptable Use

You agree that you will not, and will not allow any third party to:

  1. use the App for any illegal, harmful, harassing, defamatory, threatening, or fraudulent purpose;
  2. upload content depicting minors in a sexual manner, nudity that you do not have the right to share, or content that violates the privacy or rights of others;
  3. impersonate any person or misrepresent your affiliation with any person or entity;
  4. attempt to gain unauthorized access to the App, our servers, other users' accounts, or any related systems;
  5. probe, scan, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the App, except to the extent applicable law expressly permits;
  6. use the App to build a competing product, train machine-learning models, or scrape data;
  7. interfere with or disrupt the integrity or performance of the App, or the data it contains;
  8. circumvent any security or rate-limiting measure;
  9. use bots, scripts, or automated means to interact with the App; or
  10. use the App in any way that could damage, disable, overburden, or impair our infrastructure.

8. Crews, Squads, and Social Features

8.1 When you join or create a crew, certain information about you (display name, profile picture, accolades, daily completion status, and progress visualizations) becomes visible to other crew members.

8.2 You are responsible for the content of crew names, tags, and any messages you send. We may remove crews or content that violate these Terms.

8.3 Adding a friend or accepting a friend request creates a connection through which additional information about your activity may be shared.

8.4 Removing a friend, leaving a crew, or deleting a crew you created may remove or sever associated content and connections.

9. Push Notifications

9.1 Baadia may send push notifications about your workouts, your crewmates' completion, and similar events. You can disable push notifications in your device settings.

9.2 You consent to receive transactional notifications relating to your account and security regardless of marketing preferences.

10. Third-Party Services

10.1 Baadia integrates with third-party services, including Apple, Google, Expo, and Supabase. Their terms and privacy policies apply to your use of those services.

10.2 We are not responsible for third-party services or content. Your interactions with third parties are between you and the third party.

11. Fees

The App is currently provided free of charge. If we introduce paid features or subscriptions, we will present clear pricing and any applicable additional terms before you are charged. Subscriptions billed through Apple's App Store or Google Play are also subject to those platforms' billing terms.

12. Intellectual Property

12.1 Baadia, including its software, models, designs, logos, copy, and content (other than User Content), is owned by us or our licensors and is protected by intellectual property laws.

12.2 Except for the limited license granted in Section 4, these Terms do not grant you any right, title, or interest in Baadia or any of our intellectual property.

12.3 We welcome feedback. If you send us suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

13. Termination

13.1 By you. You may stop using Baadia at any time and may request deletion of your account from within the App or by contacting us (see Section 19).

13.2 By us. We may suspend or terminate your access to Baadia, with or without notice, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us or other users, or if we discontinue the App.

13.3 Effect of termination. Upon termination, your right to use the App ends immediately. Sections that by their nature should survive (including Sections 5.3, 6, 12, 14, 15, 16, 17, 18, and 19) will survive termination.

14. Disclaimers

14.1 THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

14.2 WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT REP COUNTS, BODY FAT ESTIMATES, OR OTHER OUTPUTS WILL BE ACCURATE; OR THAT DEFECTS WILL BE CORRECTED.

14.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

15. Limitation of Liability

15.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE APP.

15.2 OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US FOR THE APP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

15.3 THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15.4 SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Baadia and its affiliates and their respective officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

17. Governing Law and Disputes

17.1 These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict-of-laws principles.

17.2 You and we agree that any dispute arising out of or relating to these Terms or the App will be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to personal jurisdiction in those courts.

17.3 Nothing in this Section limits your statutory consumer rights in your country of residence.

If you intend to require arbitration or include a class-action waiver, you should add a clause here drafted with the help of a lawyer in your jurisdiction.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the App or by other reasonable means before they take effect. Your continued use of the App after the changes take effect means you accept the updated Terms. If you do not agree, you must stop using the App.

20. Apple App Store Additional Terms

If you downloaded Baadia from the Apple App Store, the following additional terms apply and prevail over any conflicting provisions in these Terms:

  • These Terms are between you and us only, and not with Apple. Apple is not responsible for the App or its content.
  • Your license is limited to using the App on Apple-branded products that you own or control and as permitted by the Usage Rules in the App Store Terms of Service.
  • Apple has no obligation to provide maintenance or support for the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  • Apple is not responsible for addressing any claims by you or any third party relating to the App.
  • In the event of any third-party claim that the App or your possession and use of it infringes intellectual property rights, Apple is not responsible for the investigation, defense, settlement, or discharge of any such claim.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.

21. Miscellaneous

21.1 Entire agreement. These Terms constitute the entire agreement between you and us regarding the App and supersede any prior agreements.

21.2 Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.

21.3 No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.

21.4 Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets, or by operation of law.

21.5 Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
